Francis Chen is a partner in the firm’s Corporate Transactional Group focusing on Public Company Practice. Francis has deep experience advising issuers and underwriters in public and private equity and debt offerings, including initial public offerings, follow-on and secondary financings, and PIPEs. He also counsels public companies regarding U.S. securities and listing compliance and disclosure requirements, as well as general corporate governance matters. He has worked extensively with Chinese and other Asian companies in various industries including biopharmaceutical, energy and agriculture, and with U.S. companies especially early-stage biomedical and biotechnology companies.
Practice Highlights:
- Advised managing underwriter in connection with a private placement of preferred stock and the initial public offering of TFF Pharmaceuticals, Inc. (NASDAQ: TFFP);
- Advised managing underwriter in connection with the initial public offering of Cue Biopharma, Inc. (NASDAQ: CUE);
- Advises managing underwriter in connection with the initial public offering of Pulse Biosciences, Inc. (NASDAQ: PLSE).
Prior to joining Prospera Law, Francis was an associate in the Asian Practice Group at Richardson & Patel LLP where he represented a number of Los Angeles-based private companies as outside general counsel.
Francis is fluent in both Mandarin Chinese and Taiwanese.
Francis received his J.D. from Boston University School of Law with a concentration in corporate finance and his B.A. from the University of California, Berkeley in Psychology. He is licensed to practice law in California and New York.
