Kevin K. Leung is a true thought leader and is the founder and guiding force at Prospera Law – a lawyer with decades of experience advising global corporations who also has a deep passion for charitable causes near to his heart. Kevin serves as a trusted advisor to numerous companies in the United States and around the world, many of which are publicly traded in the U.S. He regularly represents clients ranging from small start-ups to Fortune 500 companies, advising in areas including corporate finance, mergers and acquisitions and cross-border transactions. He also has vast experience advising on private equity financings, secured debt transactions, Exchange Act and Securities Act compliance, Initial Public Offerings (IPOs), PIPEs, follow-on and secondary financings, 144A transactions, Special Purpose Acquisition Companies (SPACs), joint ventures, commercial matters and other business transactions. His practice spans a variety of industries including media, alternative energy, electric vehicles, clean coal technologies, composite materials, apparel brands, drug stores, e-commerce, bio-tech and wireless technologies
Over the years, Kevin has developed an exceptional cross-discipline practice – finding, advising, structuring and executing investments and acquisitions of various companies. During this process, he is deeply involved at all points from executing a target company search, negotiating terms, closing the deal and serving on corporate boards to assist in the transition from seller to buyer. He frequently leverages his extensive network of contacts including venture fund managers, investment bankers, corporate board members and top executives at a number of private and public companies.
In addition to representing his clients, Kevin is the founder and Managing Director of a venture fund that invests in early stage bio-tech and other hi-tech companies. He has successfully invested in and exited investments in many companies, guiding his portfolio companies from start-up through many rounds of financings through going public on NASDAQ and even through tough litigations or bankruptcies. Kevin has truly seen and experienced all facets of the life cycle of companies.
Aprart from his legal practice, Kevin is passionate about his philanthropic work and is a co-founder and director of Aidan’s Red Envelope Foundation, a 501(c)(3) non-profit organization dedicated to enriching the lives of children with disabilities through donating money for therapies, equipment, communication devices, etc. to families with a disabled child (www.aidansredenvelope.org). The Foundation has been in continuous operation for over eight years and has helped hundreds of families with children with disabilities in Southern California.
Practice Highlights:
- Instrumental in advising, negotiating and executing the acquisition of one of the most coveted brands in the United States, Forbes Media, by a number of high net-worth individuals and family wealth management offices; since closing the deal in 2014, Mr. Leung has continuously served as a member of the board of directors at Forbes Media, helping the new owners of Forbes with integrating and executing its investment strategies;
- Represented the Underwriter in the Initial Public Offering of CUE Biopharma, Inc (NASDAQ: CUE), a leading innovative biopharmaceutical company developing a novel and proprietary class of biologic drugs to treat a broad range of cancers and auto immune disorders;
- Represented the Underwriter in the Initial Public Offering of Pulse Biosciences, Inc. (NASDAQ: PLSE), a development stage medical device company using a novel and proprietary platform technology which utilizes nanosecond pulsed electric fields to induce cell signaling and the activation of cellular pathways in tissues;
- Advised and represented innovative electric scooter company, T3 Motion, Inc. from its early stages of start-up, through multiple rounds of financings, its Initial Public Offering on the NYSE AMEX and through the company’s eventual failure in bankruptcy. Kevin was instrumental in all facets of this company’s development and struggle and became very close friends with the founder and CEO.
Prior to joining Prospera Law, Kevin practiced in the tax and corporate groups at PaulHastings, AllenMatkins and Richardson & Patel, where he was one of the managing partners of that firm.
Preferring the title of the firm’s “Wanderlust In Chief” to “Managing Partner,” Kevin enjoys traveling and experiencing the world and its many cultures. Kevin has stepped foot on all seven continents (including Antarctica) and over 100 cities around the world. In his travel adventures, Kevin has “run with the bulls” in Pamplona, hiked the Inca Trail to Machu Picchu, truffle hunted in Italy and, incredibly, spent a day in Indonesia with orangutans in the wild with Dr. Galdikas, a world-renowned primatologist, leading authority on orangutans and, along with Jane Goodall (studying chimpanzees) and Dian Fossey (studying mountain gorillas), a member of the “Trimates.”
Kevin is a member of the State Bar of California, the Los Angeles County Bar Association, the Southern California Chinese Lawyers Association (where he served on the Board of Governors) and the Asian Business League. He earned his J.D. from Loyola Law School and his Bachelor of Arts degree from the University of California at Irvine.
