Thomas J. O’Grady is an associate in the Corporate Transactional Group with a practice focusing on Venture & Emerging Growth, M&A and Commercial matters. Tom represents private companies and venture capital investors, helping clients in all stages of their lifecycle: from formation and early capital raises, growth through debt and equity financing and ultimately exit via merger, stock or asset sale. Tom also supports clients in their day-to-day legal needs, including drafting and negotiating agreements for commercial transactions, hiring and equity issuances, advisor and consultant engagement, and equity, debt and credit financing.
Practice Highlights:
- Guided clients through equity financings from Series Seed through Series E financing rounds and beyond.
- Advised online commerce and tech companies in capital raises involving secondary sales, tender offers and founder exits.
- Represents clients issuing SAFES, Convertible notes and warrants as early-stage or bridge funding.
- Counseled clients on asset purchases, mergers and acquisitions, including a nine-figure merger transaction.
- Regularly advises clients on a wide range of commercial transactions, including drafting and negotiating sales, services, reseller, licensing, SaaS, development, hosting, loan, security, lease, vendor, employment, consulting, sourcing, talent, referral and other agreements.
Before joining Prospera Law, Tom served as General Counsel to an online publisher, Commercial Counsel for a healthcare IT company and as an Associate for boutique practices in Boston focusing on Intellectual Property and Corporate Law.
Outside the office, Tom enjoys spending time with his four children and two miniature schnauzers.
Tom received his J.D. from Boston University School of Law and his B.A. from Saint Michael’s College. He is admitted to practice in California, the District of Columbia and Massachusetts.
